These terms govern your use of the Service. By creating an account or using it, you agree to them.
1. Who we are
The Service is a GST invoicing, inventory and billing platform operated by Simpli Web ("we", "us"). "You" means the business using it, and the individual accepting these terms on its behalf.
2. Your account
You must provide accurate business details, including a valid GSTIN where applicable, and keep them up to date. You are responsible for all activity under your account and for keeping your password secure. Tell us immediately if you believe your account has been accessed without your permission.
You must be at least 18 years old and legally able to enter into a contract. One account represents one business entity.
3. Plans, billing and renewals
We offer a Free plan and paid plans. Paid plans are charged as a single upfront payment for the plan period, in Indian Rupees, through our payment partner. Prices shown on the pricing page include applicable taxes unless stated otherwise.
Plans do not auto-renew. When a plan period ends, your account moves back to the Free plan and its limits apply until you purchase again. We will remind you before expiry.
New accounts may be given a time-limited trial of a paid plan. When the trial ends the account moves to the Free plan; no card is taken and nothing is charged.
We may change prices for future purchases. A change never affects a plan period you have already paid for.
4. Free plan limits
The Free plan is limited — including caps on invoices, customers, products and user logins — and invoices generated on it carry our branding. Current limits are shown on the pricing page and may be adjusted with notice.
5. Acceptable use
You agree not to:
- use the Service for any unlawful purpose, or to issue false or fraudulent invoices;
- attempt to gain unauthorised access to the Service, other accounts, or our systems;
- probe, scan, overload or disrupt the Service, or bypass usage limits;
- resell or white-label the Service without a written agreement with us;
- upload malware, or content that infringes someone else's rights.
We may suspend or terminate an account that breaches these terms, and will tell you why where we are permitted to.
6. Your data
Your business data remains yours. We store and process it to provide the Service, as described in our Privacy Policy. You can export your customers, products and invoices as CSV at any time, on any plan.
7. AI features
Paid plans include features powered by artificial intelligence — reading bills from photographs, suggesting HSN/SAC codes, drafting messages, and summarising your own data.
AI output is a suggestion, not a determination. It can be wrong. Always review anything it produces before you send it to a customer or rely on it for a filing. Content you submit to an AI feature is sent to the model provider configured by the platform operator solely to produce that answer.
AI usage is metered in credits, which reset monthly. Fair-use limits apply and are shown in your account.
8. Tax compliance is yours
The Service helps you produce GST-compliant documents and reports, but it is a tool, not a tax adviser. You remain responsible for the accuracy of what you issue and file — including GSTIN details, HSN/SAC codes, place of supply, tax rates and filing deadlines. Please have your accountant or CA review your filings.
9. Availability
We work to keep the Service available and reliable, but we do not guarantee uninterrupted service. We may carry out maintenance, and may change or discontinue features. Where a change is significant, we will give reasonable notice.
10. Refunds
Refunds are handled under our Cancellation & Refund Policy.
11. Limitation of liability
To the extent permitted by law, the Service is provided "as is". We are not liable for indirect or consequential losses, loss of profits, or loss of data. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim arose.
Nothing here excludes liability that cannot be excluded under Indian law.
12. Termination
You can stop using the Service and request deletion of your account at any time. On termination your right to use it ends; please export any data you want to keep first. We may retain records we are legally required to keep.
13. Changes to these terms
We may update these terms. We will post the revised version here and update the "last updated" date. Material changes will be notified to account holders. Continuing to use the Service after a change means you accept it.
14. Governing law
These terms are governed by the laws of India, and the courts of India have exclusive jurisdiction over any dispute.
